1. Agreement
These terms are an agreement between you (the hospital or organization using RootCheck, "Customer," "you") and RootCheck ("we," "us"). By requesting a free scan, subscribing, or otherwise using the service, you accept these terms. If you're accepting on behalf of a hospital or other organization, you confirm you have authority to bind it.
2. What the service is
RootCheck runs weekly automated technical checks of your hospital's publicly available price-transparency files against the published technical requirements of 45 CFR Part 180, emails you plain-English alerts when a check fails, and archives every scan as a documented monitoring history. Scans read only content you already publish on your public website — we never connect to your internal systems, need no credentials, and handle no protected health information.
Issues that arise between scans are detected at the next scan; scans run weekly, so a problem can exist for up to about a week before we see it.
3. What the service is not
Scan results are automated technical checks of publicly available files at the time of scanning. They are informational only. They do not constitute legal advice, and they are not a determination of compliance with 45 CFR Part 180 or any other law. A result of "all checks passed" means our automated checks found no issues at that scan — it does not mean, and we never represent, that CMS or any other regulator will reach the same conclusion. RootCheck does not check the accuracy of the prices in your files, only their technical form and availability.
You remain solely responsible for your own compliance with all applicable laws and regulations, including 45 CFR Part 180 and any state price-transparency requirements. RootCheck is a monitoring tool, not a substitute for your own compliance program or legal counsel.
4. No government affiliation
RootCheck is an independent monitoring service. We are not affiliated with, endorsed by, or acting on behalf of the Centers for Medicare & Medicaid Services (CMS) or any other government agency. Where our checks incorporate CMS's own published validator, that reflects use of a publicly available open-source tool, not any relationship with CMS.
5. Free scans
Free scans are offered as a one-time courtesy, with no payment, card, or obligation to subscribe. You get one email with your results and nothing further unless you ask. Free scans are provided under these same terms, including the warranty disclaimer and liability limits below. We may decline or limit free scan requests at our discretion.
6. Fees and billing
- Monthly plan: $199 per hospital per month, billed monthly. Cancel anytime; cancellation takes effect at the end of the current billing month, and you keep access through that date. No refunds for partial months.
- Annual plan: $1,990 per hospital per year, invoiced. Payment is due per the invoice terms (net terms available on request). The annual plan runs for the full year and does not renew without your agreement.
Both plans cover the same monitoring — the only difference is billing cadence. Prices may change with at least 30 days' notice; changes never apply retroactively to a period you've already paid for.
7. Your responsibilities
- Only submit websites you own or are authorized to have scanned.
- Keep your contact email current so alerts reach the right person.
- Act on your own judgment: alerts and fix instructions are technical information, and decisions about your compliance posture are yours (and your counsel's) to make.
8. Service changes and availability
We may improve or adjust the specific checks we run as the published requirements and CMS's validator evolve. We aim for reliable weekly scanning but do not guarantee uninterrupted service; if a scheduled scan fails, we re-run it as soon as practical.
9. No warranty
THE SERVICE, INCLUDING ALL SCAN RESULTS, ALERTS, REPORTS, AND MONITORING HISTORY, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY ISSUE, THAT RESULTS WILL BE ERROR-FREE, OR THAT A PASSING RESULT MEANS ANY REGULATOR WILL FIND YOU COMPLIANT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) ROOTCHECK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU ACTUALLY PAID TO ROOTCHECK IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR FREE SCANS, WHERE NO FEES HAVE BEEN PAID, ROOTCHECK'S TOTAL LIABILITY IS LIMITED TO ONE HUNDRED DOLLARS ($100).
Without limiting the above, RootCheck is not liable for regulatory penalties, enforcement actions, or other consequences of your compliance posture. Monitoring informs; it does not insure.
11. Termination
You may cancel as described in Section 6. We may suspend or terminate service for non-payment or material breach of these terms, with notice and a reasonable chance to cure where practical. On termination, you may request a copy of your archived scan history, and you may request its deletion as described in our Privacy Policy.
12. Changes to these terms
We may update these terms from time to time. We'll post changes here and revise the "Last updated" date; for material changes affecting paying customers, we'll give notice by email before they take effect. Continued use after the effective date is acceptance of the updated terms.
